Terms of Service

These Terms of Service ("Terms") govern your use of the website automate.luminakinetics.com (the "Site") and the workflow automation services (the "Services") provided by Lumina Consulting LLC, doing business as LUMERIA Automation Services ("LUMERIA," "we," "us," or "our").
By using the Site or purchasing Services, you agree to these Terms. If you do not agree, do not use the Site or Services.
1. Services
1.1 Description
LUMERIA designs, builds, tests, and deploys custom workflow automations using the n8n platform. Services include:
- Workflow design and architecture consulting.
- n8n workflow development, testing, and deployment.
- Integration with third-party APIs and services.
- Optional ongoing managed maintenance and monitoring.
1.2 Scope
The scope of each project is determined during the scoping phase and confirmed in writing (email or chat transcript) before work begins. Work outside the agreed scope requires a separate agreement or change order.
1.3 AI Chat
The AI chat on this Site is for informational and scoping purposes only. Quotes provided by the AI chat are estimates and not binding. Final pricing is confirmed after human review of your requirements.
2. Pricing and Payment
2.1 Fees
Service fees are listed on the Site and may be updated at any time. Current pricing tiers:
- Starter: $500 - $800 (2-5 nodes, single trigger)
- Professional: $800 - $1,500 (5-15 nodes, multiple integrations)
- Enterprise: $1,500 - $3,000 (15+ nodes, custom logic)
- Managed Service: $150 - $500/month (monitoring, maintenance, optimization)
2.2 Payment
Payments are processed through Stripe, Inc. By making a payment, you also agree to Stripe's Terms of Service. All prices are in US Dollars (USD).
2.3 Refund Policy
- Before work begins: Full refund available within 48 hours of payment if no work has commenced.
- After work begins: Refunds are prorated based on work completed. If you are unsatisfied with deliverables, we will make reasonable revisions (per your tier's revision allowance) before considering a refund.
- Managed services: Monthly subscriptions can be canceled at any time. No refunds for partial months.
3. Delivery and Revisions
3.1 Delivery
Estimated delivery timelines are provided during scoping. Timelines are not guaranteed and may vary based on project complexity, third-party API availability, and responsiveness of client communications.
3.2 Revisions
- Starter: 1 round of revisions included.
- Professional: 2 rounds of revisions included.
- Enterprise: Unlimited revisions until acceptance.
A "revision" means changes to the delivered workflow within the original agreed scope. Requests that expand the scope are treated as new work.
3.3 Acceptance
Deliverables are considered accepted 7 days after delivery unless you notify us of issues within that period.
4. Intellectual Property
4.1 Workflow Ownership
Upon full payment, you own the n8n workflow files we deliver to you. You may use, modify, and deploy them as you see fit.
4.2 Pre-Existing Materials
We retain ownership of any pre-existing templates, code libraries, and methodologies used in creating your workflows. You receive a perpetual, non-exclusive license to use these components within your delivered workflows.
4.3 Portfolio Rights
We may reference the general nature of work performed (e.g., "invoice processing automation for a professional services firm") in our portfolio and marketing materials, without disclosing your identity or confidential details, unless you request otherwise in writing.
5. Confidentiality
We will treat all information you share during the scoping and development process as confidential. We will not disclose your business information, API credentials, or workflow logic to third parties, except as necessary to deliver the Services (e.g., connecting to APIs you specify) or as required by law.
6. Warranties and Disclaimers
6.1 Service Warranty
We warrant that deliverables will function as described in the agreed scope for 30 days after delivery. If a workflow does not function as specified during this period, we will fix it at no additional charge.
6.2 Disclaimers
EXCEPT AS EXPRESSLY PROVIDED IN SECTION 6.1, THE SITE AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that:
- Third-party APIs or services integrated into your workflows will remain available or function without interruption.
- AI-generated responses in the chat widget are accurate, complete, or suitable for any particular purpose.
- Workflows will produce specific business results (revenue increases, time savings, etc.).
7. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL LUMERIA, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE OR SERVICES.
OUR TOTAL LIABILITY FOR ALL CLAIMS RELATED TO A PROJECT SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THAT PROJECT.
8. Indemnification
You agree to indemnify and hold harmless LUMERIA from any claims, damages, or expenses (including reasonable attorney's fees) arising from:
- Your use of the workflows we deliver.
- Your violation of these Terms.
- Your violation of any third-party rights, including third-party API terms of service.
9. Third-Party Services
Workflows we build may integrate with third-party services (Slack, Gmail, HubSpot, Stripe, etc.). Your use of those services is subject to their respective terms and conditions. We are not responsible for the availability, performance, or policies of third-party services.
10. Termination
- By you: You may stop using the Site at any time. For managed services, notify us in writing to cancel.
- By us: We may terminate or suspend your access to the Site or Services if you violate these Terms or engage in abusive behavior.
11. Governing Law and Disputes
These Terms are governed by the laws of the State of California, United States, without regard to conflict of law principles. Any dispute arising from these Terms or Services shall be resolved in the state or federal courts located in California. Before initiating litigation, both parties agree to attempt good-faith negotiation for at least 30 days.
12. Miscellaneous
- Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and LUMERIA regarding the Site and Services.
- Severability: If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect.
- Waiver: Failure to enforce any provision of these Terms does not constitute a waiver of that provision.
- Assignment: You may not assign your rights under these Terms without our written consent. We may assign our rights to a successor entity.
13. Changes to These Terms
We may update these Terms from time to time. The "Last Updated" date at the top reflects the most recent revision. Continued use of the Site or Services after changes constitutes acceptance.
